Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") constitute a legally binding agreement between DABAX-INFORMATIKA Kft. ("Proftor", "we", "us") and any school, educational institution, teacher, administrator, or other person ("you") who accesses or uses the Proftor platform, website, or related services ("Service").

By registering for an account, submitting the pilot interest form, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an institution, you represent that you have authority to bind that institution.

If you do not agree to these Terms, do not use the Service.

2. The Service

Proftor is an AI-assisted, spaced-repetition learning platform for educational institutions. It enables teachers to upload curriculum materials, define lessons with keywords and key concepts, schedule review sessions for students or groups, and view aggregated recall analytics. Students interact with session prompts and receive feedback generated by Proftor's AI engine ("Socrates").

The Service is currently in a pilot phase. Features, availability, and pricing are subject to change without notice during this period. We make no guarantee of continuous availability, and the Service may be temporarily unavailable due to maintenance, updates, or circumstances outside our control.

3. Accounts and access

3.1 Eligibility

The Service is intended for use by educational institutions, teachers, and students in a supervised educational context. Pilot access is by invitation only. By accepting an invitation, you confirm that you are authorised to use the Service on behalf of your institution.

3.2 Account security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at hello@proftor.com if you become aware of any unauthorised use of your account.

3.3 Student accounts

Student accounts are created and managed by the school or teacher. The school is responsible for ensuring that student participation is lawful and appropriately authorised, including obtaining any parental consent required by applicable law for students under 16 years of age.

4. Acceptable use

You agree to use the Service only for lawful educational purposes. You must not:

  • Upload content that is unlawful, harmful, defamatory, or in violation of third-party rights (including copyright);
  • Attempt to access, probe, or disrupt systems, networks, or data not authorised for your use;
  • Use automated tools to scrape, extract, or replicate content from the Service;
  • Share access credentials or allow unauthorised persons to use your account;
  • Use the Service in any way that could harm Proftor, other users, or third parties.

We reserve the right to suspend or terminate access for any user or institution that violates these Terms.

5. Content and intellectual property

5.1 Your content

You retain ownership of any curriculum materials, lesson content, or other data you upload to the Service ("Your Content"). By uploading content, you grant Proftor a limited, non-exclusive licence to process, store, and transmit Your Content solely for the purpose of providing the Service to you.

You are responsible for ensuring that Your Content does not infringe any third-party intellectual property rights or any applicable law.

5.2 Proftor's intellectual property

All intellectual property in the Proftor platform — including the software, AI models, user interface, design, branding, and documentation — is owned by or licensed to Proftor. Nothing in these Terms grants you any right to copy, modify, distribute, or create derivative works from Proftor's intellectual property.

5.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Proftor a perpetual, royalty-free licence to use and incorporate that feedback without any obligation to you.

6. Data processing

Where Proftor processes personal data on behalf of a school or institution (e.g. teacher names, student responses), Proftor acts as a data processor and the school acts as the data controller, in accordance with Art. 28 GDPR. Pilot partners will be asked to sign a Data Processing Agreement (DPA) before student data is processed.

For data Proftor collects in its own right (e.g. via the interest form), Proftor acts as data controller. Full details are set out in our Privacy Policy.

7. Availability and disclaimers

The Service is provided "as is" and "as available". During the pilot phase, we make no warranties — express or implied — regarding uptime, accuracy, completeness, or fitness for a particular purpose. We will make reasonable efforts to maintain availability but cannot guarantee uninterrupted access.

Proftor's AI engine ("Socrates") provides automated analysis of student responses. Its output is intended to assist teachers, not to replace professional educational judgement. We make no guarantee as to the accuracy or completeness of AI-generated feedback.

8. Limitation of liability

To the fullest extent permitted by applicable law, Proftor shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Service. Our total aggregate liability for any claim arising under or related to these Terms shall not exceed the total fees paid by you to Proftor in the twelve months preceding the claim, or €100 if no fees have been paid.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

9. Term and termination

These Terms remain in effect for as long as you use the Service or have an active account. Either party may terminate the agreement with 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms, fail to pay applicable fees, or if we discontinue the Service.

Upon termination, your access to the Service will cease. We will retain your data in accordance with our Privacy Policy and, where a DPA is in place, with the terms of that agreement. You may request export of Your Content before the termination date.

10. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of Hungary, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hungary, unless mandatory consumer protection law provides otherwise.

We encourage you to contact us first to resolve any dispute informally before initiating formal proceedings.

11. Changes to these Terms

We may update these Terms from time to time. We will notify active users of material changes by email at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance of the revised Terms. If you do not agree to the changes, you may terminate your account before they come into force.
